Thomas H. Curran Associates’s attorneys have broad experience prosecuting and defending contract disputes of all types, including cases involving complex commercial business agreements, real estate purchase and sale agreements, business acquisition and sale agreements, professional service contracts, construction contracts, insurance and reinsurance policies, development agreements, employment contracts and other types of business agreements. The Firm has successfully litigated cases in state and federal courts through trial and arbitration that span a broad spectrum of subject matters, business sectors, client types and jurisdiction.
Contractual agreements have evolved to include a broad array of complex provisions concerning performance, consideration, dispute resolution, jurisdiction, choice of law, jury waivers, integration, indemnity, conditions precedent and conditions subsequent, default and default remedies, express and implied warranties, covenants of competition, confidentiality and nondisclosure and numerous other provisions. These complexities have increased the likelihood of contract disputes arising amongst parties as performance often times falls short of either or both parties’ expectations, leading to the need for contractual litigation. Moreover, contract disputes arise even if subject agreement was poorly drafted or not even reduced to writing. Issues of breach, material or substantial performance, part performance, damages, mitigation, recession and related fraud allegations are hotly disputed. While usually governed by state contract law, depending upon the type of agreement at issue, certain provisions of the Uniform Commercial Code governing the sale of goods and negotiable instruments may also apply. Contract parties often sue on “quasi-contract” theories such as promissory estoppel, unjust enrichment and quantum meruit and related claims for unfair and deceptive business practices. Thomas H. Curran Associates’s lawyers have prosecuted and defended all of these claims and defenses in many jurisdictions and bring a deep and broad understanding of the legal and factual issues that bear upon the success or failure of a contract dispute.
